Rosneft beefs up with TNK-BP purchase

MOSCOW/LONDON (Reuters) - Rosneft tightened its grip on Russia's oil industry on Monday with a $55 billion deal to buy TNK-BP that also makes Britain's BP a one-fifth shareholder in the state-controlled company.

Rosneft, already the top oil company in the world's biggest producing country, will be pumping more oil and gas than Exxon Mobil with TNK-BP under its wing.

With BP's as a partner with two seats on Rosneft's board, powerful chief executive Igor Sechin can also pursue his dream of rivaling the U.S.-based industry number one on the world stage.

The acquisition, subject to Russian government approvals, will give Rosneft extra output and cash flow to finance exploration of Russia's vast reserves to replace ageing and depleting fields.

It keeps BP's technical expertise and international clout in Russia and provides the "quality" private shareholder President Vladimir Putin needs to show critics he is pursuing privatization and modernization.

"This is a very good signal for the Russian market. It is a good, large deal. I would like to thank you for this work," Putin told Sechin at a meeting on Monday.

Part one of the Kremlin-backed deal folds BP's half of TNK-BP, Russia's third-largest oil firm, into Rosneft. In exchange, BP gets $12.3 billion of cash and 18.5 percent of Rosneft, raising its holding to 19.75 percent.

In stage two, BP's 50-50 partner in the TNK-BP venture, AAR, would get $28 billion, but the two deals are independent of each other. It leaves the businessmen behind AAR with weakened negotiating power and Rosneft firmly in the driving seat, analysts said.

But the jury is out as to whether Putin will get the effective national champion he wants.

"TNK-BP has been an industry leader in terms of return-on-capital-invested and dividends and as a result was consistently the leader in terms of shareholder capital creation," said Steven Dashevsky, founder and chief investment officer at hedge fund Dashevsky & Partners.

"Rosneft has been the laggard and after the excitement of creation of the juggernaut...after it wears out...the long term question investors have to ask is will this acquisition of a leader by a laggard work?"

The main benefit for BP is an exit from a stormy relationship with AAR, and the chance for closer ties with a Kremlin that exerts a much tighter hold on the oil industry than it did in the 1990s when BP first invested in Russia.

FRICTION

TNK-BP is highly profitable and provides a quarter of BP's total production, but its fields are mature, and the Soviet-born tycoons who own the other half through AAR have blocked BP's search for growth in Russia through closer ties with Rosneft.

Executives at TNK-BP have had run-ins with Russian law enforcement at times of friction between the shareholders, with two managers arrested in 2008 amid a dispute over strategy that forced then-CEO Bob Dudley, who now heads BP, to flee Russia.

Should the deal survive a months-long approval process, BP's exposure to Russia would be lower, but with seats on the board it has closer ties than any of its rivals to Sechin, who has a significant say in energy policy.

BP missed out last year on a deal to go into the Russian Arctic as a result of its feud with the AAR tycoons. It watched as Exxon, ENI and Statoil did deals there.

The cash also gives BP more headroom to give something back to long-suffering shareholders, although analysts have said this may have to wait until BP's other main headache, U.S. Gulf oil spill litigation, is settled.

"They're taking over $12 billion of cash back onto the balance sheet, that'll reduce their gearing from mid-20s down to mid-teens so it transforms the balance sheet," said Investec analyst Stuart Joyner "and the potential in the Arctic that they will access through Rosneft is quite high as well."

The deal is also likely to renew speculation BP will become a takeover target with one of its troubles out of the way and cash in the bank.

"This is an important day for BP," Dudley, under severe pressure from shareholders to show some progress after a difficult few years for his company, told BP staff in a note.

He stressed that agreement remains subject to more detailed agreements being signed as well as to government and regulatory approvals.

"We are making good progress towards these agreements, with a reasonable expectation that they will be concluded sometime during the first half of 2013," he said.

A BP spokesman said shareholder backing is not required, because although the deal is a large one, the assets amount to less than 25 percent of the business according to a number of key measures under UK listing rules.

BP shares climbed four percent last week as preliminary details of the deal emerged. On Monday they fell 1.5 percent to 443.5 pence, slightly underperforming the broader market.

The four tycoons who own AAR, Mikhail Fridman, German Khan, Viktor Vekselberg and Len Blavatnik, are reluctant to remain in a joint venture with the powerful Russian state oil company, even though Khan is effectively serving as chief executive of TNK-BP since the departure of other senior executives.

Their ambitions to expand TNK-BP outside Russia were among the sticking points with BP, and absorption by Rosneft with its own plans to go international puts an end to those dreams.

VALUE TO BP?

Adding the $12.3 billion cash to the stock based on the price BP is paying for a portion of it, BP is getting a package worth $27 billion including an 18.5 percent stake to add to its existing 1.25 percent holding.

However, BP is paying a premium for the stock part, so the value could be calculated lower, at nearer to $25 billion, and lower still when taking into consideration the supportive impact of recent share buybacks by Rosneft.

Either way, although seen as positive by analysts, BP loses a dividend stream that has been providing it with about $4 billion a year.

Based on its new shareholding in Rosneft and that company's 25 percent dividend payout, BP would have only received around half a billion dollars last year.

Some observers are hopeful this may change.

"BP's influence may improve corporate governance standards at the firm and ultimately reduce the corporate governance discount when it comes to the stock market valuation of the company," said Dr Andrey Golubov, a finance lecturer at Cass Business School.

"BP's presence may also mean that the combined firm will have to start paying out more in dividends - again a positive development for minority shareholders."

Neil Shah, global head of research at Edison Investment Research, called the deal "game changing" for BP.

"BP will be left with a well of cash which should create a buffer for the costs from Deepwater Horizon (oil spill rig) and possibly fund future acquisitions," he said.

"We would like to see BP move from retrenchment to expansion, it would demonstrate confidence is returning, it is an oil super-major but only about the fifth biggest in the world and consolidation in the oil sector is far from over."

App tracks your trick-or-treating kids on Halloween

In the annual race to score the most candy on Halloween night, kids can easily lose their way. App developer Iconosys has updated its family tracking app to include a safety compass that points children in the direction of home.

Its Trick or Tracker app links a parent's and child's phone and uses each phone's GPS capabilities to monitor locations. If parents leave the house to visit a neighbor, the compass will point in the direction of the parents' location. Children must have an Android phone , but parents don't need one; they can use their iPhone, BlackBerry or Windows 7 phone.

Parents can set a boundary or geo-fence by specifying an acceptable radius around the home on the app's map. If a child wanders out of range, the parent will receive a text message ?alert. Also, curfews can be enforced through Trick or Tracker. A "latchkey kid" feature sends an alert to the parent's phone when children arrive at the door.

On a lighter note, the child's app has a flashlight for illuminating dark pathways or finding that special treat at the bottom of a full pillowcase of loot. Kids can choose from white, glow-stick neon colors or other holiday hues.

Trick or Tracker 3.0 is available for download from TrickorTracker.com or from the Amazon App Store. The app costs $5 for a lifetime license. And though the app has a Halloween theme, its useful safety features won't disappear at the stroke of midnight ? it works all year long.

'Argo' is one of the best movies of the year.

Argo has that solid, kick-the-tires feel of those studio films from the 70s that were about something but also entertained. Only it's as laugh outright amusing as it is sobering.

The movieland satire is laid on thick, but it's also deadly accurate. Schlock has never seemed so patriotic, and Arkin and Goodman have rarely been so good.

Argo is a rollicking yarn, easily the most cohesive and technically accomplished of Affleck's three films so far, but a part of me wishes the director hadn't cast himself in the lead role.

If nothing else, it proves that every so often, the CIA can pull something off - and that yes, Canadians are just about the nicest people on the planet.

The film is a whopper of a tale, one designed for Oscar nominations, Best Picture and Best Director among them.

It's okay to take a few liberties in the name of a good story

A funny trip to Hollywood and gripping escape from Tehran.

The scenes involving Goodman and Arkin are ribald and laugh-out-loud funny. You couldn't ask for two more expert actors to play these jaded movie veterans.

If there's one lesson to be gleaned from director Ben Affleck's relentlessly tense, painstakingly detailed Argo, it's that we should consider the possibility that our history has been manipulated more than many of us would care to admit.

Argo smacks of being another dreary Oscar contender but in actuality it's destined to be one of the fall's most purely enjoyable films.

I was literally in tears for parts of Argo, a purely physical reaction, not an emotional one, to deal with the tension... That isn't only some serious movie magic, it's a downright master class in suspense filmmaking from director Ben Affleck.

Under its own terms as an upscale mainstream thriller, it's a total success. This is classy moviemaking, from its well-observed performances to immaculate eye for period detail.

Argo feels like a proper old-fashioned 70s thriller, the kind Alan J Pakula used to make: taut and lean, but with dialogue to die for, plus character and attitude to spare.

Impeccably directed, superbly written and brilliantly acted, this is a terrifically entertaining thriller that gets everything right and confirms Ben Affleck as a major directing talent.

For a story about out-of-the-box thinking and high-risk heroism, Argo plays it surprisingly safe.

This is a film that runs the gamut from grim to absurd.

Combining laughs and thrills with plenty of verve, Ben Affleck continues his smart directorial career with a stylish, gripping hostage drama.

Argo is tense, affective and not just Affleck's best film but one of the best films of the year.

BEIRUT (AP) ? Turkey and Germany on Friday threw their weight behind calls for a Syrian cease-fire during a Muslim holiday next week as the international envoy for the conflict arrived in Damascus to push for the plan.

The effort has taken on urgency after activists in recent days reported some of the heaviest air bombardments by President Bashar Assad's military against rebel-held areas.

Lakhdar Brahimi, the joint U.N.-Arab League envoy, was expected to meet Foreign Minister Walid al-Moallem on Saturday. Brahimi has called for a truce by both sides in the civil war during the four-day Eid al-Adha holiday that begins next Friday.

Turkish Foreign Minister Ahmet Davutoglu also said both sides should end hostilities "at least" through Eid al-Adha.

"It is especially important for the Syrian regime, which has launched bombs on its people with planes and helicopters, to halt these attacks immediately and without preconditions," Davutoglu said.

He said the opposition must abide by the cease-fire as well.

German Foreign Minister Guido Westerwelle also called for a cease-fire, saying it would be "an important humanitarian glimmer of hope for people in Syria."

Others who have joined the calls for peace include Assad's allies in Iran. But both sides of the conflict have flouted previous cease-fires.

Despite the push for a cease-fire, activists reported more regime airstrikes Friday in the northern Idlib province. There were no immediate details on casualties.

Dozens were reported killed Wednesday and Thursday in airstrikes on opposition targets across Syria's north.

On Thursday, Syrian warplanes hammered a strategic city captured by rebels, leaving behind scenes of carnage captured on amateur videos that showed a man holding up two child-sized legs not connected to a body and another carrying a dismembered arm.

The city of Maaret al-Numan, located strategically on a major north-south highway connecting Aleppo and Damascus, was captured by rebels last week and there has been heavy fighting around it ever since. Rebel brigades from the surrounding area have poured in to defend the town. Online videos have shown them firing mortars at regime troops, and they claimed to have shot down a government helicopter on Wednesday.

Since it was captured a week ago, the Idlib province city and surrounding areas have been the focus of one of the heaviest air bombardments since Assad's military first unleashed its air force against rebels over the summer.

Activists say more than 33,000 people have been killed since the anti-Assad uprising started in March 2011.

(AP) ? Medicare is coming under scrutiny in the meningitis outbreak that has rekindled doubts about the safety of the nation's drug supply.

The giant health insurance program for seniors long ago flagged compounded drugs produced for the mass market without oversight from the Food and Drug Administration as safety risks. In 2007, Medicare revoked coverage of compounded inhaler drugs for lung disease.

But Medicare doesn't seem to have consistently used its own legal power to deny payment, and critics say that has enabled the compounding business to flourish.

Now program officials are scrambling to find out how many Medicare beneficiaries are among the more than 250 people sickened in 16 states in a still-growing outbreak that has claimed 20 lives.

The illnesses have been linked to an injectable steroid used to treat back pain, made by the New England Compounding Center, a Massachusetts specialty pharmacy. The medication was contaminated with a fungus.

A senior lawmaker and consumer advocates are raising questions about Medicare's role, including an apparent lack of coordination between Medicare and the FDA, the two most powerful agencies within the federal Health and Human Services Department.

In response, a department spokesman says Congress needs to provide the FDA with stronger powers.

The meningitis outbreak has called attention to the role of compounding pharmacies in supplying medications routinely used by hospitals and doctors to treat patients. Regulated primarily by states, the pharmacies specialize in customizing doses for individual patients who have allergies to ingredients in an FDA-approved drug, or who might need a smaller dosage than what's available commercially. But some pharmacies have pushed into full-scale manufacturing.

Medicare has long been aware of the risks.

"By compounding drugs on a large scale, a company may be operating as a drug manufacturer within the meaning of (federal law), without complying with requirements of that law," Medicare's coverage manual, a reference for contractors that handle payments, says in a section dealing with compounded drugs.

That situation, adds the manual, fails Medicare's basic standard, that treatments must be "reasonable and necessary" in order to be covered. "This means, in the case of drugs, the FDA must approve them for marketing," says the manual.

It goes on to say that billing contractors should wait for instructions from Medicare before cutting off payment in specific cases where the FDA has determined that a company is producing compounded drugs in violation of the law.

"Medicare indicates in its own policy documents that it can cut off payments for compounded drugs produced under manufacturing-like conditions," said Sen. Charles Grassley, R-Iowa, who over the years has pushed for stronger government oversight of the pharmaceutical industry.

"Medicare should explain whether it uses this step, and if not, why not. Every avenue for explaining how this health crisis occurred and preventing others like it needs exploration," he added.

Joyce Lovelace of Albany, Ky., says she doesn't understand how the outbreak could have happened. Eddie Lovelace, her husband of 55 years, died of a stroke after receiving injections of the steroid implicated in the outbreak as a treatment for pain from an auto accident.

"I'm 100 percent behind not paying ... whether it's Medicare, Blue Cross, or whatever," she said. "Somebody dropped the ball and as a result my husband is gone." Eddie Lovelace, 78, a long-serving judge, was still working at the time of his death and Medicare was not his primary insurance.

Medicare officials are looking into whether the program paid for drugs that have sickened patients.

"If the FDA determines a company is producing compounded drugs in violation of (federal law), Medicare will not reimburse for drugs produced in that facility," said HHS spokesman Tait Sye. "The FDA's regulatory authority over compounding pharmacies is more limited by statute than it is for typical drug manufacturers. We urge Congress to strengthen the FDA's authority."

FDA records show that in 2006 the agency issued a warning letter to the New England Compounding Center for producing anesthetic creams, but officials were unable to say if Medicare was alerted.

In a separate case, Medicare seems to have taken sweeping action on its own without much prodding from the FDA. In 2007, Medicare stopped coverage for compounded inhalation drugs used to treat lung disease.

"Compounded drugs are not considered interchangeable with FDA-approved products," said an information bulletin at the time from Noridian, a major Medicare payment contractor. "The absence of testing for safety and effectiveness has the potential of putting a patient at increased risk of injury, illness or death."

Michael Carome, deputy director of Public Citizen's health research group, says Medicare's policy on compounded drugs seems "internally contradictory."

"They do appear to have a policy for which the default setting is that Medicare does not cover drugs that have not been approved by the FDA," said Carome. "That essentially applies to many, if not all, drugs made by compounding pharmacies."

Medicare's defenders say the agency may be reluctant to act for a number of reasons. Cutting off compounding pharmacies could aggravate drug shortages. Also it could open Medicare to a political counterattack from industry, even charges of rationing.

But Carome, a kidney specialist who once served in an HHS regulatory office, says the alternative is that compounding will continue with little federal oversight and recurring outbreaks.

If Medicare had expanded its compounding crackdown beyond just lung disease medications, "that might have prevented the widespread use of these drugs," Carome said. "Without coverage, things don't get used."

    Daily vibration may combat prediabetes in youth

    ScienceDaily (Oct. 19, 2012) ? Daily sessions of whole-body vibration may combat prediabetes in adolescents, dramatically reducing inflammation, average blood glucose levels and symptoms such as frequent urination, researchers report.

    In mice that mimic over-eating adolescents headed toward diabetes, 20 minutes of daily vibration for eight weeks restored a healthy balance of key pro- and anti-inflammatory mediators and was better than prescription drugs at reducing levels of hemoglobin A1c, the most accurate indicator of average blood glucose levels, said Dr. Jack C. Yu, Chief of the Section of Plastic and Reconstructive Surgery at the Medical College of Georgia at Georgia Health Sciences University.

    In normal mice, just four days of vibration also dramatically improved the ability to manage a huge glucose surge similar to that following a high-calorie, high-fat meal. "It's a very good sign," said Yu. "If you eat a pound of sugar, your blood glucose will go up. If you are prediabetic, it will go up even more and take longer to come down."

    Interestingly, vibration did not produce similar changes in older, normal mice, Yu told researchers at the Third World Congress of Plastic Surgeons of Chinese Descent.

    "This is our model: the average American teenager who eats too much," said Yu, who regularly operates on obese and often prediabetic adolescent males who want their abnormally large breasts reduced. "The only way to burn fat is to exercise. We shake the bone for you rather than the body's muscle shaking it. This is a highly efficient way to fool the bone into thinking we are exercising."

    It's also one way to deal with the reality that many individuals simply will not exercise regularly, he said.

    Yu, also a craniofacial surgeon who studies bone formation, said while it's unclear exactly how vibration produces these desirable results, it seems linked to the impact of movement on bone health. Vibration mimics the motion bones experience during exercise when muscles are doing the work. The slight bending and unbending of bone triggers remodeling so it can stay strong. One result is production of osteocalcin, a protein essential to bone building, which also signals the pancreas to get ready for food. While this prehistoric relationship is tied to the hunt for food, it doesn't work so well in 21st century living where folks are moving too little and eating too much, Yu said. The constant demand can produce resistance to the insulin required to use glucose as energy.

    Additionally, the body tends to hold onto fat for energy and survival, which researchers think is key to the chronic inflammation found in obesity-related type 2 diabetes. The fat itself produces inflammatory factors; the immune system also can misidentify fat as an infection, resulting in even more inflammation but, unfortunately, not eliminating the fat.

    The bottom line is an unbalanced immune response: too many aggressors like the immune system SWAT team member Th17 and too few calming regulating factors like FoxP3. Researchers looked in the mouse blood and found vibration produced a 125-fold increase in immune system homeostasis and similar results in the kidney. This included positive movement in other players as well, such as a five-fold reduction in what Yu calls the "nuclear fuel," gammaH2AX, an indicator that something is attacking the body's DNA.

    The animal model researchers used has a defect in the receptor for leptin, the satiety hormone, so the mice uncharacteristically overeat. Vibration also significantly reduced the mouse's diabetic symptoms of excessive thirst and diluted urine, resulting from excessive urination. The mice also seemed to like it, Yu said.

    Next steps include learning more about how vibration produces such desirable results and large-scale clinical studies to see if they hold true in adolescents.

    Prediabetics can avoid type 2 diabetes by making healthy diet changes and increasing physical activity, according to the American Diabetes Association.

    Vibration technology was originally developed by the former Soviet Union to try to prevent muscle and bone wasting in cosmonauts. MCG researchers reported in the journal Bone in 2010 that daily whole body vibration may help minimize age-related bone density loss.

    Yu and Biomedical Engineer Karl H. Wenger developed the whole-body vibrator used for the animal studies. Study coauthors include Wenger as well as GHSU's Drs. Babak Baban, Sun Hsieh, Mahmood Mozaffari and Mohamad Masoumy.

    Authorities say a man accused of stuffing amateurish?counterfeit?bills in ATMs of two midtown Manhattan banks has been arrested.

    The FBI said Gene Carlo Pena was arrested at Kennedy Airport Monday afternoon.

    WNBC-TV reports he returned voluntarily from the Dominican Republic. FBI said Pena worked for a company that serviced the ATMs.

    He faces embezzlement and other charges.

    It wasn't immediately clear if he had a lawyer.

    The bills were discovered last week at two Chase branches ? on 57th Street and on Ninth Avenue. The banks were short a total of some $11,000.

    The?counterfeit?bills were blank on one side. Authorities believe they were meant to trick the ATM into believing it was carrying a full complement of cash.

    Fisker Atlantic Faces Delay

    In a statement on its Web site, Fisker said the Atlantic is "aimed at young families who want to drive an impactful, high-end vehicle while making a positive statement about responsibilities."

    The Atlantic, which will be built at a former General Motors plant in Wilmington, Delaware, is about the size of a BMW 5 Series. The Atlantic is expected to be Fisker's volume model.

    The report of the possible Atlantic delay comes as A123 Systems Inc., the battery supplier for the Karma, filed for bankruptcy on Tuesday. A123 is expected to sell its automotive assets and factories to automotive supplier Johnson Controls, also known as JCI.

    "Fisker welcomes the prospect of JCI, a recognized and strong Tier One supplier with which we already have a relationship, acquiring A123's automotive operations in order to continue production of the battery pack that we currently use on the Karma to supplement our existing inventory, which is expected to cover our needs through at least the first quarter of 2013," wrote Ormisher to Edmunds in another e-mail.

    Edmunds says: Fisker Automotive continues to face bumps in the road from several directions.

    The Land Institute of Japan released a report on the status of land prices and house prices in Japan. According to the report, prices in the Tokyo and Osaka metropolitan areas remained stable for the year ending August 2012. However, house prices continue to fall. Deflation pulls the value of the yen and lower export volume forces prices down.

    While reports of financial recovery in Japan emerged, analysts say that the country is still recovering from the decades of financial turmoil, which was made worse by the 2011 national disasters. ?According to the data from Global Property Guide, the average price of new condominium units in the Tokyo metropolitan area dropped 5.1% year on year to 691,000 per square meter in August 2012. The average prices of existing condo units also dropped 3.3% to 380,000 yen per square meter also in August 2012, the 14th consecutive month of decline. Price of detached houses fell 1.7% to 31,770,00 yen over the same period. In the Osaka metropolitan area, price of new condominium units fell 3.2% to 457,000 yen per square meter while existing condo units fell 1.6% to 239,000 per square meter over the same period.

    Despite these numbers, experts say that land prices in Japan remain flexible. Average land price in Tokyo in the same period remain unchanged at 1187,000 per square meter while the average land price in Osaka increased by 1.7% to 117,000 yen per square meter.

    The Ministry of Land, Infrastructure, Transportation and Tourism of Japan also added that in the first seven months of the current year, the number of new houses in the country increased year on year by 2.5% because of the reconstruction after the Great Tohoku Earthquake. The report from the Ministry also showed that the number of condos sold in Tokyo increased by 10.6% while detached houses that were sold increased 9.5% during the first eight months of the year compared to the same period the previous year. When it comes to total outstanding real estate loans, The Bank of Japan reported an increase of 1.5% year on year in the second quarter of 2012.

    Japan is still recovering from the great asset bubble in the late 1980s. Land prices in Japan increased 200% from 1970-1980 and 238.5% in six major cities and during the 1980s there was a 103% increase nationally and 272.2% increase in six major cities. The 1991 crash contributed to the slow recovery of the country?s economy, which left banks with bad loans of almost 1 trillion USD.

    The country?s recovery is still slow moving, also because of the weight of the damages caused by the global financial crisis in 2008 and 2009 and the effects of the 2011 natural disasters. But still, any sign of recovery is better than nothing. Japan?s economy bounced back in 2010, with strong condo sales recorded in Tokyo and dwelling units sold increased 22.5%, an increase that was backed by the enchanted mortgage tax break carried over from 2009, according to the Real Estate Economic Institute. Though land sales declined in 2010, Sales in Osaka were up 0.24% during the year to September 2011 but land sales registrations in Tokyo and in other cities fell down 0.99% and 2.% respectively. Other signs of recovery include increase in housing starts, in the third quarter of 2011 and increase housing investment due to rebuilding efforts. Trade deficit in the country continues to grow, a problem that isn?t going away too soon. Trade deficit from January to November 2011 was above 2 trillion yen.

    All in all, the future remains uncertain and there are mixed signals in Japan?s economy. The International Monetary Fund expects that the Japanese economy would rebound as the plans for reconstruction progress. IMF also adds that the economy will grow in 2012 by 2.3% which will be a good thing especially for the housing market. But despite a positive outlook, numbers remain dismal for Japan. In the second quarter of 2012, the economy expanded just 0.2%q-o-q after a 1.3% growth in the previous quarter. Deflation continues to get worse and core consumer prices fell 0.3% in August 2012 from a year earlier, a very sharp contrast on BOJ?s 1% inflation target.

    The BOJ said that Japan is in for a great struggle to recover from the slump it?s in. The country faces a critical challenge to overcome deflation and get back on a sustainable growth path with price stability.
